Terms of Service

1. Acceptance of Terms

By accessing this website or engaging TZ Solutions for services, you agree to these Terms of Service. If you do not agree, please do not use our website or services. These terms are governed by the laws of Hungary and applicable EU regulations.

2. Services

TZ Solutions provides CRM system builds and management, AI automation development, custom software engineering, and related consulting services. The specific scope, deliverables, timeline, and price for each engagement are defined in a separate written proposal or service agreement signed by both parties.

3. Payment Terms

Unless otherwise agreed in the service proposal: one-time projects require a 50% deposit before work begins, with the remaining 50% due upon delivery. Monthly retainers are invoiced at the start of each billing cycle and are due within 14 days of invoice. Late payments may incur a fee of 1.5% per month.

4. Intellectual Property & Ownership

Upon receipt of full payment, TZ Solutions assigns ownership of all custom deliverables (code, configurations, documentation) to the client, except where third-party licensed components are involved. We retain the right to display completed work in our portfolio unless a written non-disclosure agreement prohibits this.

TZ CRM platform infrastructure and any proprietary tooling developed by TZ Solutions that is not bespoke to a specific client remains our intellectual property.

5. Client Responsibilities

Clients are responsible for providing accurate information, timely access to required accounts and assets, and prompt feedback at agreed review gates. Delays caused by the client may extend delivery timelines without additional cost to TZ Solutions.

6. Limitation of Liability

To the maximum extent permitted by law, TZ Solutions is not liable for indirect, incidental, special, or consequential damages arising from our services or the use of deliverables. Our total aggregate liability for any claim shall not exceed the total fees paid by the client for the engagement giving rise to the claim.

7. Confidentiality

Both parties agree to keep confidential any non-public information exchanged during an engagement. This obligation survives the termination of any agreement by 2 years, unless a separate NDA specifies otherwise.

8. Termination

Either party may terminate a monthly retainer with 30 days written notice. One-time project agreements may not be terminated after the build sprint begins without forfeiture of the deposit. Enterprise milestone-based agreements include specific termination clauses in the service agreement.

10. Governing Law & Disputes

These terms are governed by Hungarian law. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Budapest, Hungary, unless alternative dispute resolution is mutually agreed in writing.
